These Terms of Service ("Terms") govern your use of Dictiva, a governance platform operated by Dictiva ("we," "us," or "our"). By accessing or using app.dictiva.com, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Dictiva, you agree to these Terms and our Privacy Policy. If you are using Dictiva on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

Dictiva is a statement-first governance platform that enables organizations to create, organize, and manage governance statements, assemble them into policies and handbooks, track acknowledgements, and maintain compliance. The platform includes AI-powered features for comprehension verification and content assistance.

3. User Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at hello@dictiva.com if you suspect unauthorized access.

4. Billing & Subscriptions

Dictiva offers a free Community tier and paid subscription plans (Professional, Business, Enterprise). Paid plans are billed monthly or annually via Stripe. Prices are displayed on our pricing page. We may change pricing with 30 days' notice. Refunds are handled on a case-by-case basis.

5. Acceptable Use

Sie verpflichten sich, Folgendes zu unterlassen: (a) Dictiva für illegale Zwecke zu nutzen; (b) schädliche, rechtsverletzende oder schädliche Inhalte hochzuladen; (c) zu versuchen, auf Konten oder Daten anderer Benutzer zuzugreifen; (d) Teile der Plattform zurückzuentwickeln, zu dekompilieren oder zu disassemblieren; (e) automatisierte Tools, Skripte, Bots, Crawler oder systematische Methoden zum Extrahieren, Kopieren oder Herunterladen von Plattforminhalten zu verwenden, einschließlich Governance-Erklärungen, Glossarbegriffe, Versammlungen, Domänenstrukturen, Taxonomiedaten oder Bibliotheksinhalte; (f) Nutzungslimits, Ratenlimits, Zugriffskontrollen oder API-Beschränkungen zu umgehen, zu deaktivieren oder zu stören; (g) Bibliotheksinhalte von Dictiva zu reproduzieren, weiterzuverbreiten, unterzulizenzieren, zu verkaufen oder abgeleitete Werke daraus zu erstellen; (h) aus Dictiva gewonnene Inhalte zum Trainieren, Feintunen oder Entwickeln von KI-Modellen zu verwenden. Ein Verstoß gegen diese Bestimmungen stellt einen Grund für die sofortige Kontokündigung ohne Rückerstattung dar, und wir behalten uns das Recht vor, alle verfügbaren Rechtsmittel einzusetzen.

6. Intellectual Property

Dictiva and its original content, features, and functionality are owned by Dictiva and protected by intellectual property laws. The Dictiva name, logo, and branding are our trademarks. Library content (pre-built governance statements and regulations) is provided for use within the platform.

7. Inhaltsschutz und Bibliothekslizenz

Die Governance-Bibliothek von Dictiva — einschließlich vorgefertigter Erklärungen, Glossarbegriffe, Domänenstrukturen, Versammlungsvorlagen, Taxonomieklassifikationen, Compliance-Framework-Zuordnungen und regulatorischer Zusammenfassungen — stellt eine erhebliche proprietäre Investition dar und ist durch Urheberrecht und Geschäftsgeheimnisschutz geschützt. Ihnen wird eine begrenzte, nicht-exklusive, nicht übertragbare Lizenz gewährt, um auf Bibliotheksinhalte ausschließlich innerhalb der Dictiva-Plattform zuzugreifen. Diese Lizenz erlaubt keine Extraktion, Reproduktion oder Weiterverbreitung außerhalb der Plattform. Wir überwachen aktiv Nutzungsmuster und API-Anfragevolumen. Systematischer oder anomaler Massenzugriff löst eine sofortige Überprüfung aus und kann zur Kontosperrung führen. Bei festgestellter Inhaltsextraktion oder Scraping wird Ihr Konto sofort ohne Rückerstattung gekündigt, und wir werden alle verfügbaren Rechtsmittel verfolgen.

8. Your Data

You retain ownership of all governance content you create on Dictiva, including statements, assemblies, glossary terms, and acknowledgement records. We do not claim ownership of your content. You grant us a limited license to host, store, and display your content as necessary to provide the service.

9. Privacy

Our collection and use of personal information is governed by our Privacy Policy, available at app.dictiva.com/privacy. By using Dictiva, you consent to our data practices as described in the Privacy Policy.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. Enterprise plans include a 99.9% uptime SLA. We will provide reasonable notice of planned maintenance.

11. Limitation of Liability

To the maximum extent permitted by law, Dictiva shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

Sie können Ihr Konto jederzeit über die Einstellungen schließen. Wir können Ihr Konto bei Verstößen gegen diese Bedingungen sperren oder kündigen, einschließlich Verstößen gegen die Bestimmungen zur Akzeptablen Nutzung oder zum Inhaltsschutz. Bei Verstößen, die Content-Scraping, systematische Datenextraktion, Weiterverbreitung von Bibliotheksinhalten oder Versuche zur Umgehung von Zugriffskontrollen betreffen, erfolgt die Kündigung sofort und ohne Vorankündigung. Es werden keine Rückerstattungen, Gutschriften oder anteiligen Beträge für wegen Missbrauchs gekündigte Konten gewährt. Wir behalten uns das Recht auf rechtliche Schritte vor. Nach freiwilliger Kündigung können Sie Ihre Daten innerhalb von 30 Tagen exportieren. Nach Kündigung aus wichtigem Grund kann der Datenexport eingeschränkt werden.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

14. Regulatory & Library Content

Dictiva provides regulatory summaries, governance statements, and library content for general informational and organizational purposes only. This content does not constitute legal, compliance, or professional advice. While we strive for accuracy, regulations may be amended, reinterpreted, or superseded, and our summaries may not reflect the most current legal developments. You should not rely on Dictiva's content as a substitute for consultation with qualified legal, compliance, or governance professionals. Dictiva makes no warranties regarding the completeness, accuracy, or applicability of any regulatory content to your specific circumstances.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 30 days before they take effect. Continued use after changes constitutes acceptance.
