These Terms of Service ("Terms") govern your use of Dictiva, a governance platform operated by Dictiva ("we," "us," or "our"). By accessing or using app.dictiva.com, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Dictiva, you agree to these Terms and our Privacy Policy. If you are using Dictiva on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

Dictiva is a statement-first governance platform that enables organizations to create, organize, and manage governance statements, assemble them into policies and handbooks, track acknowledgements, and maintain compliance. The platform includes AI-powered features for comprehension verification and content assistance.

3. User Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at hello@dictiva.com if you suspect unauthorized access.

4. Billing & Subscriptions

Dictiva offers a free Community tier and paid subscription plans (Professional, Business, Enterprise). Paid plans are billed monthly or annually via Stripe. Prices are displayed on our pricing page. We may change pricing with 30 days' notice. Refunds are handled on a case-by-case basis.

5. Acceptable Use

Du förbinder dig att inte: (a) använda Dictiva för olagliga ändamål; (b) ladda upp skadligt eller intrångsgörande innehåll; (c) försöka komma åt andra användares konton eller data; (d) dekompilera eller demontera någon del av plattformen; (e) använda automatiserade verktyg, skript, botar, crawlers eller systematiska metoder för att extrahera, kopiera eller ladda ner innehåll från plattformen, inklusive styrningsuttalanden, ordlistetermer, samlingar, domänstrukturer, taxonomidata eller biblioteksinnehåll; (f) kringgå, inaktivera eller störa användningsgränser, hastighetsbegränsningar, åtkomstkontroller eller API-begränsningar; (g) reproducera, vidaredistribuera, underlicensiera, sälja eller skapa härledda verk från Dictivas biblioteksinnehåll; (h) använda innehåll från Dictiva för att träna, finjustera eller utveckla AI-modeller. Brott mot dessa bestämmelser utgör grund för omedelbar kontouppsägning utan återbetalning, och vi förbehåller oss rätten att vidta alla tillgängliga rättsliga åtgärder.

6. Intellectual Property

Dictiva and its original content, features, and functionality are owned by Dictiva and protected by intellectual property laws. The Dictiva name, logo, and branding are our trademarks. Library content (pre-built governance statements and regulations) is provided for use within the platform.

7. Innehållsskydd och Bibliotekslicens

Dictivas styrningsbibliotek — inklusive förbyggda uttalanden, ordlistetermer, domänstrukturer, samlingsmallar, taxonomiklassificeringar, ramverksmappningar och regulatoriska sammanfattningar — representerar en betydande proprietär investering skyddad av upphovsrätt och affärshemligheter. Du beviljas en begränsad, icke-exklusiv, icke-överförbar licens att använda biblioteksinnehåll uteslutande inom Dictiva-plattformen. Denna licens tillåter inte extraktion, reproduktion eller vidaredistribution utanför plattformen. Vi övervakar aktivt användningsmönster och API-förfrågningsvolymer. Systematisk eller avvikande massåtkomst utlöser omedelbar granskning och kan resultera i kontosuspension. Vid konstaterad innehållsextraktion avslutas ditt konto omedelbart utan återbetalning, och vi kommer att vidta alla tillgängliga rättsliga åtgärder.

8. Your Data

You retain ownership of all governance content you create on Dictiva, including statements, assemblies, glossary terms, and acknowledgement records. We do not claim ownership of your content. You grant us a limited license to host, store, and display your content as necessary to provide the service.

9. Privacy

Our collection and use of personal information is governed by our Privacy Policy, available at app.dictiva.com/privacy. By using Dictiva, you consent to our data practices as described in the Privacy Policy.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. Enterprise plans include a 99.9% uptime SLA. We will provide reasonable notice of planned maintenance.

11. Limitation of Liability

To the maximum extent permitted by law, Dictiva shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

Du kan stänga ditt konto när som helst via Inställningar. Vi kan stänga av eller avsluta ditt konto vid brott mot dessa Villkor, inklusive brott mot bestämmelserna om Acceptabel Användning eller Innehållsskydd. Vid brott som involverar content scraping, systematisk dataextraktion, vidaredistribution av biblioteksinnehåll eller försök att kringgå åtkomstkontroller sker uppsägning omedelbart och utan förvarning. Ingen återbetalning, proportionell ersättning eller kredit utfärdas för konton som avslutas på grund av missbruk. Vi förbehåller oss rätten till rättsliga åtgärder. Vid frivillig uppsägning kan du exportera dina data inom 30 dagar. Vid uppsägning för orsak kan dataexport begränsas.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

14. Regulatory & Library Content

Dictiva provides regulatory summaries, governance statements, and library content for general informational and organizational purposes only. This content does not constitute legal, compliance, or professional advice. While we strive for accuracy, regulations may be amended, reinterpreted, or superseded, and our summaries may not reflect the most current legal developments. You should not rely on Dictiva's content as a substitute for consultation with qualified legal, compliance, or governance professionals. Dictiva makes no warranties regarding the completeness, accuracy, or applicability of any regulatory content to your specific circumstances.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 30 days before they take effect. Continued use after changes constitutes acceptance.
