Terms of Service

These Terms of Service ("Terms") govern your use of Dictiva, a governance platform operated by Dictiva ("we," "us," or "our"). By accessing or using app.dictiva.com, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using Dictiva, you agree to these Terms and our Privacy Policy. If you are using Dictiva on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Service Description
Dictiva is a statement-first governance platform that enables organizations to create, organize, and manage governance statements, assemble them into policies and handbooks, track acknowledgements, and maintain compliance. The platform includes AI-powered features for comprehension verification and content assistance.
3. User Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at hello@dictiva.com if you suspect unauthorized access.
4. Billing & Subscriptions
Dictiva offers a free Community tier and paid subscription plans (Professional, Business, Enterprise). Paid plans are billed monthly or annually via Stripe. Prices are displayed on our pricing page. We may change pricing with 30 days' notice. Refunds are handled on a case-by-case basis.
5. Acceptable Use
You agree not to: (a) use Dictiva for any illegal purpose; (b) upload malicious, infringing, or harmful content; (c) attempt to access other users' accounts or data; (d) reverse-engineer, decompile, or disassemble any part of the platform; (e) use automated tools, scripts, bots, crawlers, or any systematic method to scrape, extract, download, or copy content from the platform, including but not limited to governance statements, glossary terms, assemblies, domain structures, taxonomy data, or library content; (f) circumvent, disable, or interfere with usage limits, rate limits, access controls, or API restrictions; (g) reproduce, redistribute, sublicense, sell, or create derivative works from Dictiva's library content, governance frameworks, or proprietary datasets; (h) use any content obtained from Dictiva to train, fine-tune, or develop machine learning or artificial intelligence models. Violation of any of these provisions constitutes grounds for immediate account termination without refund, and we reserve the right to pursue all available legal remedies, including injunctive relief and damages.
6. Intellectual Property
Dictiva and its original content, features, and functionality are owned by Dictiva and protected by intellectual property laws. The Dictiva name, logo, and branding are our trademarks. Library content (pre-built governance statements and regulations) is provided for use within the platform.
7. Content Protection & Library License
Dictiva's governance library — including pre-built statements, glossary terms, domain structures, assembly templates, taxonomy classifications, compliance framework mappings, and regulatory summaries — represents significant proprietary investment and is protected by copyright and trade secret law. You are granted a limited, non-exclusive, non-transferable license to access and use library content solely within the Dictiva platform for your organization's internal governance purposes. This license does not permit extraction, reproduction, or redistribution of library content outside the platform by any means, including but not limited to API access, browser automation, manual transcription at scale, or any other method. We actively monitor usage patterns, API request volumes, and data access anomalies. Systematic or anomalous bulk access to library content — regardless of the method used — will trigger immediate review and may result in account suspension pending investigation. If we determine that content extraction or scraping has occurred, your account will be terminated immediately without refund of any subscription fees, and we will pursue all available legal remedies, including claims for copyright infringement, breach of contract, and misappropriation of trade secrets. API access, rate limits, and access controls are part of our content protection infrastructure. Any attempt to circumvent these protections is a material breach of these Terms.
8. Your Data
You retain ownership of all governance content you create on Dictiva, including statements, assemblies, glossary terms, and acknowledgement records. We do not claim ownership of your content. You grant us a limited license to host, store, and display your content as necessary to provide the service.
9. Privacy
Our collection and use of personal information is governed by our Privacy Policy, available at app.dictiva.com/privacy. By using Dictiva, you consent to our data practices as described in the Privacy Policy.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. Enterprise plans include a 99.9% uptime SLA. We will provide reasonable notice of planned maintenance.
11. Limitation of Liability
To the maximum extent permitted by law, Dictiva shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Termination
You may close your account at any time through Settings. We may suspend or terminate your account for violations of these Terms, including but not limited to breaches of the Acceptable Use or Content Protection provisions. For violations involving content scraping, systematic data extraction, redistribution of library content, or any attempt to circumvent access controls, termination is immediate and without prior notice. No refund, proration, or credit of any kind will be issued for accounts terminated due to abuse or Terms violations. We reserve the right to pursue legal action, including claims for damages, injunctive relief, and recovery of legal costs. Upon voluntary termination, you may export your data within 30 days. Upon termination for cause, data export may be restricted pending investigation. After the applicable retention period, we will delete your data in accordance with our Privacy Policy.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
14. Regulatory & Library Content
Dictiva provides regulatory summaries, governance statements, and library content for general informational and organizational purposes only. This content does not constitute legal, compliance, or professional advice. While we strive for accuracy, regulations may be amended, reinterpreted, or superseded, and our summaries may not reflect the most current legal developments. You should not rely on Dictiva's content as a substitute for consultation with qualified legal, compliance, or governance professionals. Dictiva makes no warranties regarding the completeness, accuracy, or applicability of any regulatory content to your specific circumstances.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 30 days before they take effect. Continued use after changes constitutes acceptance.
